5. Payment Terms

5.1 Payment Schedule

• 50% deposit required before work begins
• Remaining 50% due upon project completion
• For projects exceeding $5,000, payment may be split into additional milestones

5.2 Late Payments

Late payments may result in:

• Suspension of work until payment is received
• Late fees of 1.5% per month on overdue amounts
• Transfer of hosting and domain control until payment is received

6. Client Responsibilities

To ensure successful project completion, clients are responsible for:

• Providing accurate and complete project requirements
• Supplying necessary content, images, and materials
• Timely review and feedback on deliverables
• Making timely payments as agreed
• Providing access to necessary systems and accounts
• Obtaining necessary permissions and licenses for content

7. Intellectual Property

7.1 Client Content

Clients retain ownership of all content, logos, and materials they provide. By providing such materials, clients grant us a license to use them for the purposes of completing the project.

7.2 Developed Work

Upon full payment, clients will own the custom code and designs developed specifically for their project. However, we retain ownership of:

• Pre-existing code libraries and frameworks
• General methodologies and techniques
• Third-party components and plugins

7.3 Portfolio Rights

We reserve the right to display completed projects in our portfolio and marketing materials unless otherwise agreed in writing.

8. Warranties and Disclaimers

8.1 Service Warranty

We warrant that our services will be performed in a professional manner consistent with industry standards. We provide a 30-day warranty on all development work to fix any bugs or issues that arise from our work.

8.2 Disclaimers

Except as expressly stated, we make no warranties regarding:

• Internet connectivity or server performance
• Search engine rankings or traffic
• Compatibility with future software updates

9. Limitation of Liability

Our liability is limited to the amount paid for the specific service that gave rise to the claim. We are not liable for:
